Teerachai is an associate at Kudun and Partners with a focus on corporate, mergers and acquisitions, particularly in finTech and digital asset related laws. He assists both domestic and international clients in navigating the Thai legal frameworks surrounding blockchain, the tokenization of assets, decentralization exchange offerings, and digital asset regulations. Teerachai is experienced in advising on initial coin offerings (ICOs), digital asset exchange token listings, and provides legal counsel on NFTs, DeFi, e-money, payments, and finTech.

- Representing Adasoft Company Limited as lead counsel in a groundbreaking merger involving the wholesale of computer peripherals, accessories, and software, coupled with the retail of computer programs with BizServe Solution Co., Ltd.
- Assisting Gulf Energy Development PCL, one of the biggest energy producers in Thailand and the leading energy company in the Southeast Asia region, on the incorporation of a joint venture company in Thailand with Binance, in order to apply for the Digital Asset Exchange License with the Security Exchange Commission of Thailand (“SEC”).
- Represented Bay Computing Co., Ltd. (“Baycoms”), an IT security system solution provider, on the sale of its retail unit selling computers and peripheral units in specialized stores to Beryl 8 Plus Public Company Limited (“BE8”), a Thai-listed company in the Stock Exchange of Thailand (SET), for a total value of THB 1.44 billion, through a two-tiered transaction.
- Assising in the business rehabilitation process of a well-known real estate development company group based in Pattaya.
- Providing legal and tax advice on the corporate restructuring of the group of companies for tax and corporate efficiency purposes, both in Thailand and Singapore.

- Assisting a venture capital on its application for an ICO Portal license with the Security Exchange Commission of Thailand (“SEC”) including the preparation of their KYC manual in compliance with the regulation of Anti-Money Laundering Office of Thailand (“AMLO”).
- Representing a regional digital asset operator in South East Asia during the moratorium process under the Singapore court, while also collaborating with the Securities and Exchange Commission of Thailand (“SEC”) to navigate regulatory compliance.
- Assisting a financial services company in applying for the Digital Asset Broker and Fund Manager license with the Security Exchange Commission of Thailand (“SEC”) and advising the client on the preparation of their on-boarding process, and KYC manual in compliance with the regulation of Anti-Money Laundering Office of Thailand (“AMLO”).
- Advising a blockchain technology provider that will issue its native cryptocurrency on the establishment of an offshore company in Switzerland and providing legal counsel on the multi-jurisdictional structuring of the blockchain project, starting from the fundraising phase.
- Advising a venture builder on Thailand’s regulatory framework for a cross-border ICO project and the supporting technological services reliant on blockchain, including the development of an offshore corporate structure for its token sale.
- Conducting onboarding KYC process and reviewing the ICO prospectus for an issuer’s project.
- Drafting and reviewing various documents for blockchain-based clients, which include the AML/CTPF policy, whitepaper and litepaper, terms and conditions, and website’s cookies policy and privacy policy.
- Advising the Bank for International Settlements (“BIS”), an international financial institution for multi-jurisdiction settlement, to design and develop an innovative and efficient cross-border payment infrastructure platform that improves existing key pain points, including high-cost, low speed, and operational complexities.
- Assisting a large multinational online payment gateway company with a presence in Singapore, Malaysia, Hongkong, and Thailand on licensing requirements for various types of payment services in Thailand with the Bank of Thailand.
