延续泰国房地产投资热潮,泰国本地及外籍人士对公寓的需求不断攀升,为避免公寓开发商、承售方、运营商等(以下简称“经营方”)在公寓预售时提供不平等的格式合同、损害消费者权益,在2024年8月30日,泰国合同委员会(Contract Committee)根据《消费者保护法》(Consumer Protection Act) 发布了《公寓预售应属受规管合同业务》(“Designating the Sale of Reserved Condominium Units as a Business Subject to Contract Control ”)的公告(以下简称“《公寓预售公告》”),并于2024年10月3日在政府公报上公告,《公寓销售公告》将自2025年2月1日起生效 。根据《公寓预售公告》的规定,“公寓单元预售业务(“Business of selling reserved condominium unit”)”为消费者与经营方签订预售合同,由消费者购买公寓并向经营方支付预付款的业务。基于此一法律行为,泰国合同委员会进一步明确如下事项:1. 消费者支付的“预付款(reservation payment)”系作为消费者将在后续规定期限内签订购房合同的担保,而不属于订金或头期款;2. 经营方提供的预售合同必须遵守《公寓预售公告》中的标准条款,不得任意减轻经营方的责任和义务,也不得无故增加消费者的责任和义务;3. 消费者应能够清晰辨认经营方提供的合同文本,预售合同应遵守相关格式规范,包括合同字符大小、应包含泰语文本等,且无论通过线下或线上电子平台签署预售合同均应适用该等要求。4. 经营方在收集、使用或披露消费者的个人数据时,必须遵守《个人数据保护法》 (Personal Data Protection Act)。5. 明确经营方不得加入具有以下性质或类似含义的条款:
